The Côte d’Azur was once just a coastline. Mallorca was almond groves and fishermen. The Costa Smeralda was bare rock. What transformed them was not money — it was a vision that found the language to express the place for its time. The Noto–Syracuse coast holds what those destinations held before they were discovered, and what most have since lost. The number of such places remaining in Europe — with this depth of history, this quality of light, this concentration of UNESCO heritage, and not yet priced into the global luxury market — is vanishingly small. One of the last raw diamonds in the Mediterranean. But a raw diamond needs a concept that speaks the new language. That is what Sicily Prime is building.

Golden Visa Investors

€500,000 qualifying investment threshold. EU residency eligibility through Italy’s Golden Visa programme. Equity participation in Sicily Prime. 14-day complimentary annual hospitality across the managed property portfolio. Community events, cultural programming, partner network access. Internal Marketplace participation.

Tier Two

Founding & Strategic Partner Shareholders

The architectural core of Sicily Prime. Capital partners, network principals, strategic allies. A deeper, longer, structurally distinct relationship with the company. These are the people who saw the thesis early and committed to it — not as passive investors, but as co-builders of the platform.

Both tiers are equity owners and Prime Members. The distinction is in the origin and nature of the commitment, not in the quality of belonging.

Internal Marketplace. Sicily Prime has created something unique in the residency-by-investment market: a curated Internal Marketplace where equity holders can offer their shares to incoming or existing investors within the community. Share transfers require board approval to maintain community quality and investor alignment. The marketplace is governed by clear terms set out in the shareholder agreement, with pricing based on the most recent Net Asset Valuation and exit requests reviewed quarterly. No other Golden Visa operator offers a structured, community-based liquidity mechanism of this kind. It is early-stage by design — built to grow alongside the community it serves.

This is not a passive investment. It is an equity position in an operating Italian company with real assets, real revenue, and a real team.

Investor Protection

Five-Layer Legal Protection Framework

Sicily Prime deploys capital without acquiring property title — a deliberate structural choice for regulatory compliance and Golden Visa qualification. Investor capital is instead secured by five interlocking legal instruments under Italian civil law:

1. Procura Irrevocabile

An irrevocable power of attorney granting Sicily Prime full authority over the development and management of each property — ensuring operational control independent of the landowner.

2. Preliminare Trascritto

A registered preliminary purchase agreement (Art. 2645-bis of the Italian Civil Code) that creates a publicly recorded claim on the property, protecting Sicily Prime’s economic interest against third-party claims.

3. Vincolo di Destinazione

A destination constraint (Art. 2645-ter CC) that ring-fences the property for the agreed purpose, preventing the landowner from diverting or encumbering the asset outside the partnership terms.

4. Clausola Penale + Titolo Esecutivo

A penalty clause backed by an enforceable title — providing immediate legal recourse and pre-agreed compensation in the event of landowner default, without requiring lengthy court proceedings.

5. Ipoteca Volontaria

A voluntary mortgage registered on the property in favour of Sicily Prime, securing the deployed capital with a real-property lien that takes priority in enforcement.

This five-layer structure is the core investor protection mechanism. It allows Sicily Prime to deploy capital and manage properties with full economic rights — without acquiring property title. Your €500,000 is deployed only after the Italian government issues pre-approval (Nulla Osta). You do not risk capital on an uncertain outcome. This is a structural feature of the Italian programme.

Designed Liquidity

The Internal Marketplace — unique in the Golden Visa market — enables shareholders to offer their participation to incoming or existing investors within the community. Board-approved transfers, quarterly review cycles, NAV-based pricing. Liquidity designed into the structure from day one.

Investment Structure

Questions We’re Asked Most Often

Tier 1 investors are Golden Visa qualifying investors (€500,000). Tier 2 investors participate at varying levels outside the visa pathway. Both tiers receive economic participation, project-level transparency, community membership, and access to the Internal Marketplace. Voting rights are structured to protect both the company and the investors. Full details are provided in the confidential investor memorandum.

Sicily Prime S.r.l. is a subsidiary of Argo Venture Studio, Berlin (est. 1996), founded by Stefan Beiten. The leadership team is named on this page — every member is accessible, invested, and accountable. The founder lives in the asset and has deployed his own capital alongside investors.

Mezzanine finance: capital deployed into villa construction through structured lending, secured by a five-layer legal protection framework. Development management: architectural oversight, construction management, and quality assurance across the portfolio. Luxury hospitality: five-star boutique hotel operations generating recurring rental income. The three business lines are vertically integrated — each reinforces the others.

The landowner contributes the asset (land and/or existing structure). Sicily Prime contributes capital, architectural expertise, construction management, and hospitality operations. The relationship is governed by a three-contract structure under Italian civil law: a Partecipazione Economica (economic participation agreement), a Mandato di Gestione Esclusivo (exclusive management mandate), and a Patto di Prelazione (right of first refusal). This contractual framework secures Sicily Prime’s economic rights without acquiring property title — a deliberate structural choice for regulatory compliance and investor protection.
